REFERRAL PARTNER AGREEMENT

This Referral Partner Agreement (“Agreement”) is made and entered into on this (“Effective Date”) by and between:

Relyonsoft a company incorporated under the laws of India, having its registered office at #73, 2nd Floor, Shreelekha Complex, WOC Road Mahalaxmipuram, Bangalore-560086 (“Company”).
AND
[Referral Partner Name], having its principal address at [Partner Address] (“Referral Partner”).

The Company and Referral Partner are hereinafter collectively referred to as the “Parties” and individually as a “Party.”

1. Purpose

The purpose of this Agreement is to establish the terms under which the Referral Partner will refer potential clients to the Company for the use of its application/solutions, in return for a referral commission on successful order closures.

2. Referral Process

  1. The Referral Partner shall identify and refer potential clients (“Referred Clients”) to the Company by sharing their details through the prescribed form provided by the Company.
  2. The Company shall, at its sole discretion, determine whether to engage with a Referred Client and shall not be obligated to accept any referral.

3. Referral Commission

  1. The Referral Partner shall be entitled to a referral commission of X% of the net order value per closed order, for each successful closure of an order with a Referred Client directly attributable to the Referral Partner’s introduction.
  2. A referral shall be deemed successful only when the Referred Client executes a binding agreement with the Company, and the Company has received part payment as per the order terms.
  3. Commissions shall be payable within 45 days from the receipt of payment from the Referred Client.
  4. No commission shall be payable for leads already known to or engaged with the Company prior to referral.

4. Term and Termination

  1. This Agreement shall commence on the Effective Date and shall remain in force for an initial term of 12 months, unless terminated earlier.
  2. Either Party may terminate this Agreement by providing 30 days written notice to the other Party.
  3. In case of termination, the Referral Partner shall be entitled to commissions only for referrals closed prior to the date of termination.

5. Relationship of the Parties

  1. The Referral Partner acts solely as an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture between the Parties.
  2. The Referral Partner shall not have authority to bind the Company or make commitments on its behalf.

6. Confidentiality

The Referral Partner agrees to maintain the confidentiality of all information including client details, pricing, business strategies, and any other proprietary information shared by the Company during the term of this Agreement and thereafter.

7. Miscellaneous

  1. This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions or communications.
  2. No modification or amendment shall be valid unless made in writing and signed by both Parties.
  3. This Agreement shall be governed by and construed in accordance with the laws of Republic of India. Courts at Bengaluru shall have exclusive jurisdiction over disputes arising out of this Agreement.

8. Execution

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the Effective Date.
